DYGILAB
Dygilab Terms of Service
Version: 1.2
Last updated: September 27, 2026
Effective date: for new subscriptions accepting this version after publication.
These Terms of Service (the “Terms”) govern business-to-business services supplied by Dygilab LLC, 30 N Gould St, Ste R, Sheridan, Wyoming 82801, United States (“Dygilab”, “we”, “us”) to the business identified at checkout (the “Client”).
By checking the required acceptance box and completing checkout, the person acting for the Client confirms that they have authority to bind the Client and that the Client accepts these Terms. Dygilab does not offer these standard plans to consumers acting primarily for personal, family, or household purposes.
1. Services
Dygilab provides human-managed Google Business Profile and local visibility services for one business location and one Google Business Profile per subscription. The applicable checkout page and offer description form part of the agreement.
Both plans include the same services:
- an initial profile and local visibility review;
- an initial action plan;
- optimization of profile information, categories, services, and content;
- one Google Post per week;
- monitoring of Google reviews and management as described in Section 2;
- optimization of client-supplied photos and content for the profile;
- checking core business information for consistency across the online listings reviewed; creating listings, correcting every directory, and directory fees are not included;
- ongoing profile optimization based on available data and relevant Google changes;
- a monthly report based primarily on Google Business Profile performance data; and
- review collection guidance and, on request, a personalized print-ready QR sign; the Client requests reviews, prints the sign, and displays it; and
- reasonable support by email or WhatsApp, with a call or video meeting available when needed.
The service does not include website creation or redesign, comprehensive technical or on-page SEO, paid advertising, social-media management, photo or video creation, on-site photography, or visual creation other than the QR sign described above, paid directory or software fees, additional locations, or any other service not expressly listed in the applicable offer or agreed in writing.
The service requires an existing Google Business Profile. Initial profile creation is not included. If an existing profile is not verified, delivery depends on available access and features; verification remains Google’s decision. Posts use Client-supplied content. Monthly reports use available Google Business Profile data, also accessible in the profile’s Performance section. No paid grid-based rank tracking is included without a separate written agreement. Services and communication are available in French and/or English.
The standard plans do not cover reinstatement or appeals for a suspended, disabled, or deleted profile, ownership or access disputes, or complex recovery, duplicate-merger, or verification procedures. These matters require a separate assessment and written agreement. Dygilab does not guarantee the outcome or timing of any process controlled by Google.
2. Google review management
Dygilab replies to three- to five-star Google reviews within 48 hours. This deadline applies to review replies, not to general support requests. Display of replies remains subject to Google’s moderation. If a review contains a complaint requiring knowledge of the facts, Dygilab requests clarification from the Client before replying.
For one- and two-star reviews, Dygilab alerts the Client upon detection and provides a response template and best-practice guidance. The Client provides an explanation of the facts and how its business operates. The Client may complete and publish the reply directly, or send the details to Dygilab so Dygilab can prepare and publish a reply approved by the Client. Dygilab does not reply independently to these reviews or assume facts on the Client’s behalf.
Where a review appears to violate Google’s policies, Dygilab may report it to request removal. Google makes the final decision; removal and moderation timing are not guaranteed.
3. Plans and minimum commitments
Flexible
The Flexible plan is billed monthly and has a minimum commitment of three consecutive monthly billing periods. After the minimum commitment, it automatically renews month to month until canceled under Section 6.
Best Value
The Best Value plan is billed monthly and has an initial commitment of twelve consecutive monthly billing periods, subject to the early-exit option in Section 6. After the minimum commitment, it automatically renews month to month until canceled under Section 6.
The price and billing currency shown and accepted at checkout apply to the subscription. Each subscription covers one business location and one Google Business Profile. Additional locations require additional subscriptions or a separate written proposal.
4. Activation and Client dependencies
The subscription starts when Stripe confirms the initial payment. Operational delivery starts after Dygilab has received the completed onboarding form, the required information, and the appropriate platform permissions.
If the information or access provided shows that the standard service cannot be activated — including because the profile is suspended, disabled, or deleted, an ownership dispute exists, the business is ineligible under Google’s rules, or appropriate access cannot be obtained — Dygilab may decline or stop activation. If no substantive work has begun, Dygilab will refund the initial payment. Any out-of-scope work requires the Client’s written agreement to separate terms.
The Client must:
- provide accurate, complete, and current business information;
- provide or approve the access reasonably required to perform the service;
- ensure that it has the right to supply all text, images, trademarks, personal data, and other materials provided to Dygilab;
- review requests for confirmation or approval within a reasonable time;
- keep its business information, opening hours, and customer-facing details accurate; and
- comply with Google’s policies and all laws applicable to its business.
Dygilab will never request the Client’s Google password. Access must be provided through the appropriate Google invitation or authorization process.
Delays caused by missing information, missing access, inaccurate information, or late approvals do not postpone billing or extend a minimum commitment.
5. Fees, taxes, and payment
Fees are charged in advance on the subscription anniversary date using the payment method saved through Stripe. The amount, currency, billing frequency, and any tax treatment displayed at checkout form part of the agreement.
Monthly prices are EUR 289 / 239; USD 319 / 259; AUD 479 / 389; CAD 429 / 349; CHF 279 / 229; and GBP 249 / 199, respectively for Flexible and Best Value. Displayed prices are total amounts inclusive of any tax charged by Dygilab: no additional Dygilab tax charge is to be added to the stated total. This is not a statement that the Client is tax-exempt and does not remove any legal obligations of the Client, including reverse-charge obligations. Site language does not determine currency. The checkout amount and currency must match the Client’s selection before confirmation; if they differ, the Client should contact Dygilab before paying.
The Client authorizes recurring charges for the selected plan until the subscription ends. The Client is responsible for keeping a valid payment method on file and for any bank, card, foreign-exchange, withholding, reverse-charge, or similar obligations that legally apply to the Client.
If a recurring payment fails, the Client is notified and asked to resolve the outstanding payment. Reminders and payment retries may follow. If payment remains outstanding seven calendar days after the failed payment, Dygilab suspends the services and notifies the Client. This includes posts, review responses, and optimization work; it does not involve deleting the Client’s Google profile or content. Work resumes after payment is resolved and Dygilab confirms resumption. Suspension is not automatic termination and does not cancel amounts already due or the remaining minimum commitment. Termination for breach is governed by Section 11. Blocking a card, revoking a payment method, or stopping automatic charges does not constitute cancellation notice or release the Client from its contractual obligations. Technically stopping automatic invoicing or collection does not, by itself, waive amounts contractually due. Any settlement or waiver must be confirmed in writing by Dygilab.
6. Cancellation and renewal
End of the commitment and monthly renewal
The Client may give written cancellation notice during the initial commitment, effective at its end, subject to the notice deadline below. After three complete monthly billing periods for Flexible or twelve for Best Value, the subscription renews month to month with no new fixed-term commitment and no exit fee.
Best Value early exit
As an exception to the initial twelve-period commitment, the Client may end Best Value on a subscription anniversary after at least six complete monthly billing periods and before completion of the twelfth period. This early exit carries a fee equal to one monthly subscription payment at the subscription’s applicable rate and currency. The fee is additional to service fees through the end date and does not purchase another month of service. Monthly service fees after the effective end date are not owed under this validly exercised early-exit option; previously outstanding amounts and the early-exit fee remain payable.
Notice may be given before the six periods are complete so that cancellation takes effect at their end. A seventh month of service is not required if the notice deadline below is met. No early-exit fee applies when cancellation takes effect at the end of the twelve periods or later. Dygilab confirms the end date and the early-exit fee in writing.
Cancellation notice
For the cases above, notice must be received at least 48 calendar hours before the relevant renewal time, measured in UTC. It may be sent to contact@dygilab.com or through the official WhatsApp conversation used with Dygilab. Receipt determines whether notice is timely. No one-month notice period applies.
Late notice takes effect on the next eligible subscription anniversary, and the renewed period remains payable. For Best Value, the early-exit fee applies only if the effective end date is before completion of the initial twelve periods.
Payments for active or completed billing periods are non-refundable in the case of voluntary cancellation. This does not limit refunds required because of a billing error, a valid cancellation received within the notice period, or mandatory law. Service remains available through the end of the paid period unless suspended for breach or non-payment.
7. No ranking or commercial guarantee
Dygilab provides the services using reasonable professional care and an obligation of means. Dygilab does not guarantee any particular ranking, map position, traffic level, number of calls, customer actions, sales, revenue, review outcome, review removal, or time frame for results.
Results can be affected by proximity, competition, the Client’s reputation and operations, customer behavior, Google’s systems and policies, platform changes, suspensions, third-party data, and other factors outside Dygilab’s control.
8. Google and third-party platforms
Google Business Profile, Google Maps, Google Drive, Stripe, and other third-party services are governed by their own terms and technical availability. Dygilab does not control their algorithms, moderation decisions, outages, suspensions, account-verification requirements, or policy changes.
Dygilab is not responsible for a third party’s decision or failure, but will use reasonable efforts to inform the Client and assist within the purchased scope when an issue affects delivery.
9. Client materials and intellectual property
The Client retains ownership of its Google Business Profile and materials it supplies and grants Dygilab a non-exclusive, worldwide license to use, edit, format, and publish those materials only as reasonably necessary to provide the service.
Dygilab retains ownership of its pre-existing methods, templates, prompts, processes, know-how, tools, and reusable materials. Once all applicable fees are paid, the Client may use reports for its business and print, display, or share customer-facing deliverables, including the QR sign, for their intended purpose. No ownership in Dygilab’s underlying methods or reusable assets is transferred.
10. Confidentiality and data protection
Each party must protect non-public business information received from the other and use it only for the agreement. This obligation does not apply to information that is public through no breach, already lawfully known, independently developed, or required to be disclosed by law.
Dygilab processes contact, billing, onboarding, account-access, and performance information as described in its Privacy Policy. Schedule 1 governs processing on the Client’s behalf where applicable. Any additional document required for a specific processing activity or transfer must be completed before that activity or transfer.
11. Suspension and termination for breach
Suspension for an ordinary overdue payment follows the seven-day period in Section 5. It is separate from termination for breach described below.
Either party may terminate for a material breach that remains uncured for ten calendar days after written notice, unless the breach cannot reasonably be cured. Dygilab may suspend immediately where reasonably necessary because of unlawful instructions, a security risk, misuse of platform access, or conduct likely to violate Google’s policies or harm Dygilab or a third party.
Dygilab may also suspend or terminate the service immediately in the event of fraud, threats, harassment, discriminatory language, an attempt to obtain manipulation or a breach of Google’s rules, or serious or repeated conduct that reasonably makes the working relationship impossible.
Termination for the Client’s breach does not cancel fees already due or fees owed for the remainder of an applicable minimum commitment.
12. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, punitive, or consequential losses, or for lost profit, lost revenue, lost opportunity, loss of goodwill, or loss of data.
Dygilab’s total aggregate liability arising from the services will not exceed the fees paid by the Client to Dygilab during the three months immediately preceding the event giving rise to the claim.
These limitations do not apply where liability cannot legally be excluded or limited, including liability arising from fraud, willful misconduct, or gross negligence where applicable.
13. Force majeure
Neither party is liable for delay or failure caused by events beyond its reasonable control, including platform outages, internet failures, natural disasters, governmental action, war, civil unrest, labor disruption, or major third-party service interruption. Payment obligations for services already supplied are not excused.
14. Changes to the service or Terms
Dygilab may make reasonable operational changes that do not materially reduce the purchased service. Material changes to these Terms or pricing will be communicated before they take effect. Changes will not shorten an active minimum commitment or retroactively alter fees already paid.
Continued use after the effective date of a properly notified change constitutes acceptance to the extent permitted by law. If a material change substantially disadvantages the Client, the Client may reject it by canceling before it takes effect, subject to any minimum commitment already agreed.
15. Governing law and disputes
The parties will first attempt in good faith to resolve any dispute informally for thirty days after written notice of the dispute.
These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law principles. Subject to any mandatory law that cannot validly be excluded, the state and federal courts serving Sheridan County, Wyoming have exclusive jurisdiction.
16. Notices
Contractual notices to Dygilab must be sent to contact@dygilab.com.Cancellation notices may also be received through the official WhatsApp conversation under Section 6. Notices to the Client may be sent to the email address entered at checkout or later designated in writing. A party must promptly notify the other of a change to its contact details.
17. General provisions
These Terms, the checkout summary, the applicable offer description, and any written amendment accepted by both parties form the entire agreement for the standard service. If a signed custom agreement expressly conflicts with these Terms, the signed custom agreement controls for that conflict.
The Client may not assign the agreement without Dygilab’s written consent, except as part of a genuine sale of substantially all of its business or assets. Dygilab may use qualified contractors to assist with delivery while remaining responsible for the contracted service.
If a provision is held unenforceable, it will be limited or removed only to the extent necessary, and the remaining provisions continue in effect. A failure to enforce a provision is not a waiver.
18. Language
These English Terms govern subscriptions concluded through an English-language sales and checkout flow. The French CGV form a separate agreement for French-language flows and do not modify these Terms.

Schedule 1 — Data Processing Terms
This Schedule forms part of the Terms where Dygilab processes personal data on behalf of a Client subject to the GDPR, UK GDPR, or a similar data-protection law.
1. Roles and instructions
For Client Data processed solely to deliver the services, the Client acts as controller and Dygilab acts as processor. Dygilab will process Client Data only on the Client’s documented instructions, including these Terms, the selected service, the onboarding form, and later written instructions, unless applicable law requires otherwise.
The Client is responsible for the lawfulness, accuracy, transparency, and permitted collection of Client Data and for providing any notices required to data subjects.
2. Processing details
- Subject matter: management and optimization of the Client’s Google Business Profile and related local-visibility services.
- Duration: the subscription term, plus the limited retention period necessary for return, deletion, backups, security, dispute handling, and legal obligations.
- Purpose: profile management, review monitoring, response management, reporting, support, access administration, and related service delivery.
- Data types: business contact details; Google account identifiers; publicly displayed reviewer names, ratings, and review content; profile content; business images; communications; approval records; platform identifiers; and performance data.
- Data subjects: the Client’s personnel and representatives, business contacts, customers, reviewers, and other persons interacting with the Client’s profile.
- Special-category data: not intentionally requested. The Client must not instruct Dygilab to process special-category or highly sensitive data unless separately agreed in writing with appropriate safeguards.
3. Confidentiality and security
Dygilab will ensure that persons authorized to process Client Data are bound by confidentiality and will maintain measures appropriate to the risk, including access controls, multi-factor authentication where available, least-privilege access, device and account security, and reasonable procedures for access revocation and incident response.
Dygilab will not request or store the Client’s Google password. Platform access must use delegated invitations or other approved authorization methods.
4. Subprocessors
The Client grants general authorization for Dygilab to use subprocessors reasonably necessary to provide the service. Current categories and expected providers include:
- Google services, including Google Business Profile, Google Workspace, Google Drive, and Gmail;
- Tally for onboarding forms;
- Airtable for operational client-record management;
- hosting, domain, security, and website-form providers used for Dygilab’s website; and
- communication providers used at the Client’s request, including WhatsApp.
Stripe processes payment and billing information under its own terms and may act independently for parts of that processing.
Dygilab will require processors handling Client Data to provide appropriate data-protection obligations. Material additions or replacements will be notified through the subprocessor list or another reasonable written channel, allowing the Client a reasonable opportunity to object on legitimate data-protection grounds.
Dygilab will not submit Client confidential information or non-public personal data to a general-purpose generative AI service unless the Client has separately authorized that use and appropriate contractual and technical protections are in place.
5. Assistance and incidents
Taking into account the nature of the processing, Dygilab will reasonably assist the Client with data-subject requests, security obligations, impact assessments, and regulator consultations where required. Dygilab will notify the Client without undue delay after becoming aware of a personal-data breach affecting Client Data and will provide information reasonably available to support the Client’s response.
6. International transfers
Data may be processed in the United States and in countries where authorized providers operate. Before a transfer subject to the GDPR or UK GDPR, the parties identify the applicable legal mechanism and put required safeguards in place.
If standard contractual clauses are needed, the parties complete and enter into the module and annexes appropriate to the relevant roles, countries, providers, and security measures, together with a UK addendum where required. This Schedule does not replace those documents and does not itself constitute certification or an adequacy decision. The affected transfer does not begin until required safeguards are in place.
7. Return and deletion
At the end of the service, Dygilab will revoke its active platform access and, on written request, return or delete Client Data within a reasonable period, normally within 30 days, unless retention is required by law, necessary for a legal claim, or temporarily present in secured backups. Dygilab may retain its own billing, contractual, security, and compliance records for the periods required by law or legitimate business needs.
8. Compliance information and audits
Dygilab will make available information reasonably necessary to demonstrate compliance with these Data Processing Terms. Any audit must be proportionate, protect other clients and confidential systems, occur on reasonable notice, and, where possible, begin with existing documentation or a remote review. The Client bears audit costs unless the audit identifies a material breach by Dygilab.
9. Unlawful instructions
Dygilab will inform the Client if, in its reasonable opinion, an instruction infringes applicable data-protection law and may suspend the affected processing until the parties resolve the issue.
